Kingsway Announces Executive Transition

ITASCA, IL , April 21, 2020 /CNW/ - (KFS) Kingsway Financial Services Inc. ("Kingsway" or the "Company") today announced it received notice from the New York Stock Exchange ("NYSE") that the Company is not in compliance with NYSE listing standard 802.01E because it had not timely filed its Annual Report on Form 10-K for the fiscal year ended December 31, 2019 (the "2019 Form 10-K"). NYSE has informed the Company it will closely monitor the status of Kingsway's late filing and related public disclosures for up to a six-month period from its due date. Kingsway will continue to work with its auditors with the objective of filing its 2019 Form 10-K as soon as practicable.

Kingsway Provides Further Update on 2018 Form 10-K Filing

(NYSE: KFS) Kingsway Financial Services Inc. ("Kingsway" or the "Company") today announced that the New York Stock Exchange ("NYSE") granted the Company an additional extension through April 17, 2020 to become current with all of its periodic Securities and Exchange Commission ("SEC") filings. The NYSE will continue the listing of the Company's common stock during such time; however, the additional extension period and continued listing of the Company's common stock is subject to ongoing reassessment by the NYSE. The NYSE also informed Kingsway that in the event it does not file its Quarterly Reports on Form 10-Q for the periods ended March 31, 2019, June 30, 2019, and September 30, 2019, respectively, and any subsequent delayed filings with the SEC by April 17, 2020, the NYSE will move forward with the initiation of suspension and delisting procedures. At this time, the Company expects to file all of its delinquent SEC filings prior to the expiration of the extension period.
